Welcome to Narrate! These Terms of Service ("Terms") govern your access to and use of the Narrate mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading, accessing, or using the Narrate app, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

Narrate is an AI-powered document processing and audio narration service that:

• Extracts and processes text from documents, PDFs, web URLs, and other content sources
• Generates AI-powered summaries in multiple languages
• Creates audio narrations using text-to-speech technology
• Organizes content into collections and playlists
• Provides subscription-based access to premium features

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service.

4. Account Registration

4.1 Account Creation: You may create an account using your email address through our passwordless authentication system. When you sign up or log in, you'll receive a secure authentication link or code via email to verify your identity.

4.2 Account Security: You are responsible for maintaining the security of your email account and for all activities that occur under your Narrate account. You should not share your authentication links or codes with others.

4.3 Account Information: You agree to provide a valid, current email address during registration and to update such information to keep it accurate.

5. User Content

5.1 Your Content: You retain all ownership rights to content you upload or submit to the Service ("User Content"). By uploading User Content, you grant Narrate a non-exclusive, worldwide, royalty-free license to process, store, and generate summaries and audio narrations of your content solely to provide the Service.

5.2 Content Restrictions: You agree not to upload or submit:

• Content that infringes any intellectual property or proprietary rights
• Content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Content containing viruses, malware, or other harmful code
• Content that violates any applicable laws or regulations

5.3 Content Processing: You acknowledge that your content will be processed using third-party AI services to generate summaries and audio. Summaries and audio narrations are computer-generated and may contain errors. We are not responsible for the accuracy or quality of AI-generated content.

5.4 Content Storage: Your content is stored securely using industry-standard encryption and cloud storage services. We retain your content for as long as your account is active or as needed to provide the Service.

6. Subscription and Payment Terms

6.1 Subscription Plans: Narrate offers subscription-based access to premium features. Current plans and pricing are available in the app.

6.2 Billing: Subscriptions are billed through the Apple App Store. By subscribing, you agree to the App Store's payment terms and policies.

6.3 Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.

6.4 Cancellation: You may cancel your subscription at any time through your App Store account settings. Cancellation takes effect at the end of the current billing period.

6.5 No Refunds: Payments are non-refundable except as required by law or as expressly stated in these Terms.

6.6 Price Changes: We may change subscription prices at any time. Price changes will apply to renewals after notice is provided to you.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload content you don't have the right to upload
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scripts) to access the Service without authorization
• Reverse engineer, decompile, or disassemble any portion of the Service
• Remove or modify any proprietary notices or labels
• Share or distribute authentication links or codes intended for your use

8. Intellectual Property Rights

8.1 Service Ownership: The Service, including its software, design, text, graphics, and other content (excluding User Content), is owned by Narrate and is protected by copyright, trademark, and other intellectual property laws.

8.2 AI-Generated Content: AI-generated summaries and audio narrations created from your User Content are provided as part of the Service. You may use these for personal or commercial purposes, but Narrate makes no warranties regarding their accuracy or fitness for any particular purpose.

8.3 Trademark: "Narrate" and our logos are trademarks of Projek J. You may not use them without our prior written permission.

9. Third-Party Services

The Service uses third-party services including AI service providers for text summarization and text-to-speech generation, cloud storage providers for content storage and hosting, and email service providers for authentication. Your use of these services through our app is subject to their respective terms and privacy policies.

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers and Limitations of Liability

11.1 Service "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 AI Accuracy: WE DO NOT WARRANT THAT AI-GENERATED SUMMARIES OR AUDIO WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. YOU ARE RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY AI-GENERATED CONTENT.

11.3 Service Availability: WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

11.4 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NARRATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

11.5 Maximum Liability: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Narrate and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your access to or use of the Service, your User Content, or your violation of these Terms.

13. Termination

13.1 Termination by You: You may terminate your account at any time by contacting us or deleting the app and canceling your subscription.

13.2 Termination by Us: We may suspend or terminate your account immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, violates applicable laws, or is fraudulent.

13.3 Effect of Termination: Upon termination, your right to access the Service ceases immediately. We may delete your User Content and account data.

14. Modifications to Service and Terms

14.1 Service Changes: We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

14.2 Terms Changes: We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Dispute Resolution

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

15.2 Arbitration: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules.

15.3 Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class-action lawsuits or class-wide arbitration.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Narrate regarding the Service.

16.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

16.4 Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
